IN CONSIDERATION of your agency furnishing us/me with information concerning the sale of the business/property above noted to be named, AND OTHER GOOD AND VALUABLE CONSIDERATION, the receipt and sufficiency of which is hereby by me/us acknowledged, we/I covenant and agree as follows:
1. to hold any and all information furnished to me/us in strict confidence, without disclosure to any third parties other than professional functionaries that I/we may engage, including any party having business dealings with your client the Seller, without first requesting permission from your agency to do so and upon such permission being granted by you, to furnish you with the name and address of the third party intended recipient of such information;
2. to conduct any and all inquiries, inspections, communications or negotiations concerning the business undertaking/property through POPE ESTATES ARIZONA INC.
3. to refrain from any and all contact whatsoever with your client, the Seller, to be named, or their employees, officers or directors unless having arranged such contact through you;
4. to submit any and all contracts of purchase, correspondence or other form of communication concerning the business or property through your agency and no other and to shred or otherwise destroy all confidential financial information furnished by the Broker upon the Broker’s request to do so.
ARBITRATION: If a controversy arises with respect to the subject matter of this Agreement as it relates to the transaction contemplated, I/we agree with POPE ESTATES ARIZONA INC. that such controversy will be settled by final binding arbitration in accordance with the rules of the American Arbitration Association with all proceedings in the County of Mohave, State of Arizona.
We/I further understand and agree that the execution of this Agreement by any corporation, partnership, organization, group or firm to which I/we are signatories shall bind the entity the same as if the Agreement were signed by the signatory in his or her personal capacity.
