Capitalization Rate
The percentage rate used to determine the present value of a stream of future earnings.
Charitable Remainder Trust (CRT) A trust allowing a person to donate property or securities to charity, but continue to use the property and/or receive income from the securities during their lifetime.
CAPX The acronym for capital expenditures that are necessary within the coming year.
EBITDA Earnings Before Income Taxes, Depreciation and Amortization.
EBIT The acronym for Earnings Before Interest and Taxes.
ESOP or Employee Stock Owner ship Plan A trust established by a corporation which acts as a tax-qualified, defined-contribution retirement plan by making the employees partial owners.
Hart-Scott - Rodino Act An amendment to the Clayton Act that requires certain firms to file notice of a pending acquisition with the Federal Trade Comission and the Department of Justice in advance of any such transaction.
Initial Public Offering (IPO) The first offering of the common stock to the public by a closely held company.
Intermediary Typically, an individual or small firm that acts for a seller or buyer of a small or middle market company
Lehman Formula The industry standard commission rate, which is a sliding scale 5-4-3-2-1 percent on each successive million dollars of the purchase price.
NAICS (North American Industrial Classification System A newer classification system developed by the U.S. Department of Commerce and used to assign one or more industry categories to a business.
No-Shop Clause An agreement between an intending buyer and seller to discontinue marketing of the business while under contract during the due diligence period.
Offering Memorandum A written publication describing a company in detail including its past financial history used in marketing businesses for sale
Recast Earnings Earnings that have been recast by adding-back non recurring expenses,personal expenses, depreciation and amortization to determine the true earnings of the company.
Recap A sale transaction in which the owner sells part of the equity in the business in order to 'take some chips off the table' while still operating the business.
